These Terms & Conditions ("Terms") govern your access to and use of the InvexBook web application and related services (collectively, "InvexBook" or the "Service"), provided by Indexial Technologies. InvexBook is a cloud-based business-management platform for billing, point-of-sale, inventory, purchase and sales management, accounting and GST invoicing, and related reporting. By registering for, accessing or using the Service, you agree to these Terms on behalf of yourself and the business you represent. If you do not agree, do not use the Service.

1. Definitions

  • "Business" / "you" means the organization (proprietorship, firm, company or other entity) that registers for or uses the Service, and its authorized users.
  • "Administrator" means the user who registers the Business account or is designated to manage it.
  • "User" means any individual authorized by the Business to access the Service under the Business's account.
  • "Your Data" means all data, records and content that you or your Users enter into or generate through the Service, including customer/vendor details, items, invoices, stock, ledgers and transactions.

2. Eligibility & accounts

You must be at least 18 years old and legally capable of entering into a binding contract. The person who registers a Business account represents that they are authorized to bind the Business to these Terms. Additional Users are created and managed by the Administrator; access and available features depend on the role assigned to each User. You are responsible for keeping login credentials confidential, for all activity under your account, and for promptly notifying us of any unauthorized access or security incident.

3. The Service

InvexBook provides tools that may include, depending on your plan and configuration: billing and point-of-sale (including profile-specific screens such as chemist, pharma, retail and others), inventory and batch/stock management, sales and purchase documents (invoices, orders, challans, credit/debit notes), party (customer and vendor) management, accounting and vouchers, GST/tax computation on documents, manufacturing, and reports and dashboards. Features available to you depend on your subscription and settings, and may change over time.

4. Subscriptions, fees & payment

Access to some or all features may require a paid subscription. Fees, billing cycle and included limits are as set out in your chosen plan or order. Unless stated otherwise, fees are exclusive of applicable taxes, are payable in advance, and are non-refundable except where required by law. We may revise pricing on prospective notice; continued use after a price change constitutes acceptance. We may suspend or downgrade access for non-payment.

5. Your responsibility for data and compliance

You are solely responsible for the accuracy, legality and completeness of Your Data and for how you use the Service's output. In particular:

  • InvexBook is a software tool, not a substitute for professional accounting, tax or legal advice. Any GST rates, tax amounts, totals, reports or other outputs are generated from the data and settings you provide.
  • You are responsible for your own tax determinations, invoice correctness, statutory filings and regulatory compliance. We are not responsible for penalties, interest or losses arising from incorrect data, configuration, or your reliance on the Service's output.
  • You are responsible for lawfully collecting and handling any personal data of your customers, vendors or staff that you enter into the Service, including providing any notices and obtaining any consents required of you as the controller of that data.

6. Acceptable use

You agree to use InvexBook only for lawful, legitimate business purposes and in accordance with applicable law. You will not: submit false, fraudulent or misleading records; attempt to bypass security, access controls or usage limits; access data belonging to another business or tenant; probe, scan, overload, disrupt or interfere with the Service or its infrastructure; introduce malware; scrape or use automated means to extract data except through features we provide; reverse engineer, decompile or copy the Service except to the extent permitted by law; resell, sublicense or provide the Service to third parties without our written consent; or use the Service to infringe any third-party rights.

7. Data ownership & processing

As between you and us, Your Data belongs to and is controlled by you. You grant us a limited licence to host, process, transmit and display Your Data solely to provide and support the Service, to maintain and secure it, and as otherwise permitted in the Privacy Policy. We do not sell Your Data and do not use it for advertising. We may use aggregated and de-identified data (which does not identify you or any individual) to operate and improve the Service.

8. Intellectual property

The Service — including its software, design, interface, text and content (excluding Your Data) — is owned by Indexial Technologies and its licensors and is protected by applicable intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use InvexBook for your internal business purposes only, subject to these Terms. All rights not expressly granted are reserved.

9. Third-party services

The Service may rely on third-party providers (for example, cloud hosting, email/SMS delivery, and authentication). Their components may be subject to their own terms, and we are not responsible for third-party services outside our control.

10. Availability, maintenance & changes

We aim for high availability but do not guarantee uninterrupted or error-free operation. We may perform maintenance, and may modify, add, suspend or discontinue features, with notice where reasonably practicable. We may release updates that you may need to adopt to keep using the Service.

11. Backups

We take reasonable measures to back up data hosted on the Service; however, you are responsible for maintaining your own copies of critical records and reports. To the extent permitted by law, we are not liable for any loss or corruption of data.

12. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will meet your requirements or that outputs will be error-free.

13. Limitation of liability

To the maximum extent permitted by law, Indexial Technologies and its affiliates, personnel and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill or data, arising out of or relating to your use of (or inability to use) the Service, even if advised of the possibility. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid to us for the Service in the three (3) months immediately preceding the event giving rise to the claim.

14. Indemnity

You agree to indemnify and hold harmless Indexial Technologies from and against any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising from Your Data, your use of the Service in breach of these Terms or applicable law, or your infringement of any third-party rights.

15. Confidentiality

Each party may access information of the other that is confidential. Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms. Your Data is treated as your confidential information.

16. Suspension & termination

We may suspend or terminate your access (in whole or in part) for breach of these Terms, non-payment, suspected fraud or misuse, or where required by law. You may stop using the Service at any time. On termination, your right to use the Service ceases; we will make Your Data available for export for a reasonable period as described in the Privacy Policy or your service agreement, after which it may be deleted in the ordinary course.

17. Governing law & jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The courts at Gurugram, Haryana, India shall have exclusive jurisdiction over any disputes, subject to any mandatory dispute-resolution requirements of applicable law.

18. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a new effective date and, where appropriate, notified to you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
